5 Typographical Errors

In the event that a Bright Ideas 365 Ltd product is mistakenly listed at an incorrect price, Bright Ideas 365 Ltd reserves the right to refuse or cancel any orders placed for product listed at the incorrect price. Bright Ideas 365 Ltd reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Bright Ideas 365 Ltd shall issue a credit to your credit card account in the amount of the incorrect price.

6 Term; Termination

These terms and conditions are applicable to you upon your accessing the site and/or completing the registration or shopping process. These terms and conditions, or any part of them, may be terminated by Bright Ideas 365 Ltd without notice at any time, for any reason. The provisions relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.

Bright Ideas 365 Ltd may deliver notice to you by means of e-mail, a general notice on the site, or by other reliable method to the address you have provided to Bright Ideas 365 Ltd.

8 Miscellaneous

Your use of this site shall be governed in all respects by the laws of the United Kingdom without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to the purchase of Bright Ideas 365 Ltd products) shall be in the United Kingdom. Any cause of action or claim you may have with respect to the site (including but not limited to the purchase of Bright Ideas 365 Ltd products) must be commenced within one (1) year after the claim or cause of action arises. Bright Ideas 365 Ltd’s failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. Bright Ideas 365 Ltd may assign its rights and duties under this Agreement to any party at any time without notice to you.

9 Use of Site

Harassment in any manner or form on the site, including via e-mail, chat, or by use of obscene or abusive language, is strictly forbidden. Impersonation of others, including a Bright Ideas 365 Ltd or other licensed employee, host, or representative, as well as other members or visitors on the site is prohibited. You may not upload to, distribute, or otherwise publish through the site any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law. You may not upload commercial content on the site or use the site to solicit others to join or become members of any other commercial online service or other organization.

You acknowledge that by providing you with the ability to view and distribute user-generated content on the site, Bright Ideas 365 Ltd is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities on the site. However, Bright Ideas 365 Ltd has no control over these linked sites, all of which have separate privacy and data collection practices, independent of Bright Ideas 365 Ltd. Part 2. Brightideas.today Prize Draw Terms and Conditions

Terms and Conditions valid for prize draws from 1st May 2021.

These terms and conditions together with any specific rules set out in Prize Draw Notices (as defined below) are the Prize Draw Rules (“Rules“) and apply to prize draws (“Prize Draw“) featuring in any part of the Brightideas.today internet website, howsoever accessed unless otherwise expressly stated. By entering a Prize Draw, entrants agree to be bound by these Rules.

1. Rules specific to each Prize Draw are displayed in a notice on the page for such Prize Draw (“Prize Draw Notices“) and are incorporated into the Rules. In the event of discrepancy between these terms and conditions and the Prize Draw Notices, the Prize Draw Notices shall prevail.

2. Bright Ideas 365 Ltd reserves the right to cancel or amend the Prize Draw or the Rules without notice in the event of a catastrophe, war, civil or military disturbance, act of God or any actual or anticipated breach of any applicable law or regulation or any other event outside of Bright Ideas 365 Ltd’s reasonable control. Any changes will be posted either within these terms and conditions or the Prize Draw Notice.

3. In the event of any dispute regarding the rules, conduct, results and all other matters relating to a Prize Draw, the decision of the judge(s) (as appointed by Bright Ideas 365 Ltd) shall be final and no correspondence or discussion shall be entered into.

Qualifying Entrants

4. To qualify to enter the Prize Draw you must be resident in the United Kingdom (excluding Northern Ireland) or the Isle of Man. The address you provide with your Prize Draw entry (where requested) or upon receiving notification of winning (“Entry“) may be used to send any prizes so please make sure this is correct.

5. Employees of Bright Ideas 365 Ltd or any associated company and their immediate families, persons connected with the prize draw and their immediate families i.e. prize sponsors, beneficiaries, and their agents are not eligible to enter Bright Ideas 365 Ltd prize draws.

6. Additional eligibility requirements may apply to a specific Prize Draw, e.g. a valid passport, visas and/or driver’s licence will be required if the Prize Draw prize includes travel outside the United Kingdom and/or car hire.

7. By entering the Prize Draw, you hereby warrant that all information submitted by you is true, current and complete. Bright Ideas 365 Ltd reserves the right to verify the eligibility of all entrants.

8. Bright Ideas 365 Ltd assumes that by visiting and using the Brightideas.today website and entering a Prize Draw (and you warrant that) you are aged 18 years of age or older.

9. Bright Ideas 365 Ltd reserves the right to disqualify any entrant if it has reasonable grounds to believe the entrant has breached any of the Rules.

10. In the event that any entrant is disqualified from the Prize Draw, Bright Ideas 365 Ltd in its sole discretion may decide whether a replacement should be selected. In this event, any further entrant will be selected on the same criteria as the original entrant and will be subject to these Rules.

Prize Draw Entries

11. Only one entry per Prize Draw, per subscription, per calendar month, is allowed and any entrant who attempts to enter more than the permitted maximum will be disqualified. Where this is the case Bright Ideas 365 Ltd reserves the right to select an alternative winner. Any further winner will be selected on the same criteria as the original winner and will be subject to these Rules.

12. Prize Draw entries must be made in the manner (and by the closing date if applicable) specified on the Prize Draw Notice. Failure to do so will disqualify the entry.

13. Only one entry per Prize Draw, per subscription, per calendar month, will be accepted. If it becomes apparent that a participant is using a computer(s) to circumvent this term by, for example, the use of ‘brute force’, ‘script’ or any other automated means, that person/those e-mail addresses will be disqualified and any prize award will be void. In this case the Bright Ideas 365 Ltd reserves the right to suspend or cancel that person’s subscription, and reserves the right to take legal action where appropriate.

14. Proof of sending an entry cannot be accepted as proof of delivery. Bright Ideas 365 Ltd cannot accept responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, alteration of, or unauthorised access to Entries, or Entries lost or delayed whether or not arising during operation or transmission as a result of server functions, virus, bugs or other causes outside its control.

Prizes

15. Prize winners will be chosen at random, using the services of a third party independent service provider (Random.org) unless specified otherwise in the Prize Draw Notice, from all qualifying entries within 28 days of the Prize Draw closing. In all matters, the decision of the judge(s) shall be final and no correspondence or discussion shall be entered into.

16. Prize winners will be notified by email within 28-days of the Prize Draw closing. Return of any prize notification as undeliverable or failure to reply as specified in the notification (and within the time stated) may result in disqualification and selection of an alternate winner. If more than one prize is awarded only one prize per entrant will be awarded. Draw winner’s names and regional location may be published on the Brightideas.today website.

17. Once an entrant is informed of winning, claims for prizes must be made in the manner and within the time specified on the winning confirmation communication. Failure to claim a prize within this time or in the manner specified may result in disqualification and selection of an alternate winner.

18. Prizes are non–transferable and there is no cash alternative (except where stated otherwise). Bright Ideas 365 Ltd reserves the right to substitute prizes of equal or greater value at any time.

19. Prizes are awarded at the discretion of Bright Ideas 365 Ltd and no prizes will be awarded as a result of improper actions by or on behalf of any entrant.

20. Where a prize may not be appropriate for a younger contestant, the minimum age for entry will be stated in the Prize Draw Notice and must be observed. Bright Ideas 365 Ltd reserves the right to request written proof of age of any winner.

21. All taxes, insurances, transfers, spending money and other expenses (including meals or personal expenses upgrades etc.) as the case may be, unless specifically stated, are the sole responsibility of the prize winner.

Terms and Conditions Relating to Specific Non-Cash Prizes

These Prize Draw Rules & Terms and Conditions are in addition to, and must be read in conjunction with other Terms and Conditions and specific Prize Draw notices. In most cases prizes will be administered by the Company’s agents directly to the winner (at his or her home address) once the claim has been validated in accordance with the Company’s Terms and Conditions.

23. Age restriction on certain types of non-cash prizes may apply. In the event that a winner is under age (but is still an eligible winner) for any non-cash prize which has an age restriction attached by the supplier, the Company reserves the right to administer the prize to a legal guardian or parent.

24. Holidays as prizes will be awarded in the form of a voucher.

In this case entrants are responsible for making sure that valid passports and travel documents are held at the point of departure.

25. Where a car is awarded as a prize, this will include 12 months road tax and delivery but will be exclusive of insurance. The Winner is responsible for arranging their own motor insurance, and this must be arranged prior to use of the collection or use of the vehicle.

Collection or delivery of the vehicle may vary from time to time, dependent on manufacturer and model; specific arrangements during the claim process will be agreed with the Winner.

The winner (or the Winners parent or legal guardian) will be liable for providing a valid UK driving license and a valid insurance certificate for registration purposes before delivery.

26. Except for liability for death or personal injury caused by the negligence of the company, the company shall not be liable for any loss suffered or sustained to person or property including not limited to, consequential (including economic) loss by reason of any act or omission by the company, or its servants or agents, in connection with the arrangement for supply, or the supply, of any vehicles by any person to the prize-winner and where applicable to any family/persons accompanying the winner or in connection with any of the Prizes awarded by the Company.

27. Where a listed prize is unavailable for any reason, the company reserves the right to substitute a prize of similar value and type.

Intellectual Property Rights & Use of Entries

28. Bright Ideas 365 Ltd does not, unless we agree this with you, claim any rights of ownership in your Entry. As such, you retain ownership and copyright, although Bright Ideas 365 Ltd will be able to use Entries as set out in the Rules, you will also have the right to use your Entry in any way you choose. Where any Entry is to be used in a different way (e.g. we are asking to own this) this will be made clear in the Prize Draw Notice and you will then be able to choose whether to enter the Prize Draw.

29. Where a Prize Draw involves intellectual property, patented, or copyright material. Specific rules related to this will be as stipulated in the Prize Draw Notice, and these will take precedence over normal Prize Draw terms.

30. Bright Ideas 365 Ltd does not guarantee to use or otherwise make available any Entry. Bright Ideas 365 Ltd may, in appropriate circumstances, and at its sole discretion, reject, edit, remove or disable access to Entries that appear to be legally or otherwise problematic e.g. infringe the copyright or other intellectual property or privacy rights of others, are defamatory etc. or for any other reason.

31. Your entry and any information submitted by you must be personal to and relate specifically to you. You hereby warrant that your Entry and all information which you submit and/or distribute will not infringe the intellectual property, privacy or any other rights of any third party, and will not contain anything which is libellous, defamatory, obscene, indecent, harassing or threatening. If relevant, Bright Ideas 365 Ltd reserves the right, but not the obligation, to screen, filter and/or monitor information provided by you and to edit, refuse to distribute or remove the same.

Liability

32. Bright Ideas 365 Ltd cannot accept any responsibility for any damage, loss, injury or disappointment suffered by any entrant entering the Prize Draw or as a result of accepting any prize. Bright Ideas 365 Ltd is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment or software, failure of any email or entry to be received on account of technical problems or traffic congestion on the Internet, telephone lines or at any web site, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer or mobile telephone related to or resulting from participation in the Prize Draw. Nothing shall exclude Bright Ideas 365 Ltd’s liability for death or personal injury as a result of its negligence.

Data Protection and Publicity

33. Winners may be requested to take part in promotional activity and Bright Ideas 365 Ltd reserves the right to use the names and geographical region of winners in publicity material.

34. Any personal data relating to entrants will not be disclosed to a third party without the individual’s consent. Please see the Bright Ideas 365 Ltd Privacy Policy for further details. Data relating to entrants will be retained by Bright Ideas 365 Ltd for a reasonable period after the Prize Draw closes to assist Bright Ideas 365 Ltd to operate prize draws in a consistent manner and to deal with any queries on the Prize Draw.

35. By providing Bright Ideas 365 Ltd with your personal data you consent to Bright Ideas 365 Ltd transferring your personal data to countries or jurisdictions which do not provide the same level of data protection as the UK. If Bright Ideas 365 Ltd does make such a transfer it will, if appropriate, put a contract in place to ensure that your personal data is protected.

Jurisdiction

36. The Prize Draw and Rules will be governed by English law and any disputes will be subject to the exclusive jurisdiction of the courts of England. Where the site and/or the Interactive Services are accessed from Scotland, this Agreement shall be governed by the laws of Scotland and you hereby submit to the exclusive jurisdiction of the Scottish courts.

Part 3. Brightideas.today Discount Voucher Terms and Conditions.

1. Third party vouchers codes displayed on the Brightideas.today website are subject to the terms and conditions of the promoter, and no warranty is offered or implied by Bright Ideas 365 Ltd on any product or service offered.

2. Bright Ideas 365 Ltd accepts no liability for loss, damage, injury, or disappointment, as a result of using discount voucher codes displayed on the Brightideas.today website.

3. Offers may be removed from the site at the discretion of the promoter, or Bright Ideas 365 Ltd at any time.

4. All voucher codes must be used in accordance with the promoters terms and conditions. These may be found on the promoters website.

5. All voucher codes must be used before the stated closing date.

6. Delivery of services and goods using discount voucher codes is outside of the control of Bright Ideas 365 Ltd. No correspondence will be entered into regarding issues with discount voucher codes.
